Venture investors are now requiring AI governance documentation before closing deals. The shift happened between 2025 and 2026 as the EU AI Act enforcement deadline moved into view, FTC enforcement actions landed on AI companies with inadequate controls, and LP-level ESG reporting began including AI governance as a metric. A startup that cannot produce a written AI policy, a vendor DPA list, and an AI incident log is a governance risk — and investors are pricing that risk.

Why This Became a VC Requirement in 2026
AI governance was optional in 2022 and 2023. Two things changed:
EU AI Act enforcement (August 2026). Any portfolio company operating in the EU market faces mandatory compliance obligations for high-risk AI systems. If a portfolio company uses AI in hiring, credit scoring, or clinical decisions for EU customers and has no governance documentation, the VC has a portfolio liability. Institutional investors with EU exposure now require portfolio-level compliance evidence before new investments.
FTC Operation AI Comply (2024–2025). The FTC's enforcement sweep against companies that overstated AI capabilities or misused consumer data in AI systems established a clear pattern: governance failures create enforcement exposure that surfaces in M&A diligence. An acquirer discovering an FTC investigation in a target company's AI practices can kill or significantly reprice a deal. VCs learned this from fund exits.
LP ESG reporting. Limited partners increasingly ask fund managers about AI-related risks in the portfolio. Governance documentation gives fund managers concrete evidence to report. This created demand from the top of the investment chain.
What Investors Are Actually Requesting
The specific requests vary by fund, sector, and deal stage. Here is what has been consistently reported from founder conversations during Series A and Series B closes in 2025–2026:
1. AI Acceptable Use Policy (Written, Current)
A document that answers: which AI tools are approved for company use, what data can and cannot be processed by AI tools, who is responsible for AI governance, and what the process is for approving new tools.
What investors look for: A real policy, not a one-line statement. It should be dated within the last 12 months, signed off by a named executive, and specific enough to be operational — not just aspirational language. "We take AI safety seriously" is not a policy.
What disqualifies: A policy that lists ChatGPT as an approved tool for customer data, or a policy that has never been communicated to the team.
2. AI Vendor Register with DPA Status
A list of every AI tool in use, who manages it, what data it processes, and whether a Data Processing Agreement (DPA) is in place. For GDPR-covered companies, investors specifically check whether DPAs exist for every vendor that touches personal data.
What investors look for: A spreadsheet or register with columns for vendor name, data processed, tier/plan, DPA status (yes/no/pending), and training opt-out status.
Common failure: Developers using free-tier or personal API accounts for production workloads, creating DPA gaps. Any AI tool processing customer or employee personal data must have a signed DPA — no exceptions under GDPR Article 28.
3. Bias Testing Documentation (For High-Risk AI)
If the company uses AI in hiring, credit scoring, lending, insurance pricing, or any decision that affects individuals' access to services, investors want evidence of bias testing. This is an EU AI Act requirement for Annex III systems, but investors are asking for it regardless of EU exposure.
What investors look for: At minimum, a methodology statement — what protected characteristics were tested, what datasets were used, what the pass threshold was. Ideally: actual test results showing pass rates across demographic groups.
What disqualifies: A statement that "our AI vendor does bias testing" without supporting documentation. Deployer obligations under EU AI Act Article 26 are separate from provider obligations — you cannot transfer compliance to your vendor.
4. AI Incident Log
A record of AI-related failures, unexpected outputs, or data incidents. Even if the log is empty, its existence demonstrates that the company has a process for tracking AI performance. A log with documented incidents and remediation actions demonstrates operational maturity.
What investors look for: A simple log format: date, AI tool involved, what happened, affected population, action taken. No specific software required — a Notion page or spreadsheet is sufficient.
What disqualifies: No log, or a statement that "we haven't had any AI incidents." Every team that has deployed AI for more than six months has had at least one unexpected output worth logging.
What Investors Are NOT Asking For (Yet)
To calibrate effort: most Series A investors in 2026 are not yet requiring:
- Full EU AI Act conformity assessment (required by August 2026 for high-risk systems, but many investors are not yet verifying this in non-EU-exposed companies)
- NIST AI RMF documentation
- Third-party AI audits
- Formal red teaming reports
These are on the horizon for 2027–2028. Build the foundation now — the four items above — and the more advanced requirements are incremental additions.
The Due Diligence Question List
These are the actual questions being asked in AI governance due diligence sections of investor questionnaires in 2025–2026. Use this list to self-assess before you're in a deal process.
Policy:
- Do you have a written AI acceptable use policy?
- When was it last updated?
- Who is responsible for AI governance in your organization?
Vendor risk:
- What AI tools does your company use in production?
- Do you have signed DPAs with each AI vendor that processes personal data?
- Have you confirmed that your AI vendors do not train on your company or customer data?
High-risk AI:
- Does your company use AI in hiring, lending, insurance pricing, or clinical decisions?
- If yes: what bias testing have you conducted, with what methodology and results?
- If yes: what human oversight mechanism exists for AI-influenced decisions?
Incident management:
- Do you maintain an AI incident log?
- Have there been any AI-related data incidents or regulatory inquiries?
Regulatory exposure:
- Do you sell to EU customers? Have you classified your AI tools against EU AI Act Annex III?
- Do you have government contracts that include AI governance representations?
One-Week Implementation Plan
If you're entering a fundraising process without this documentation, this is the prioritized sequence:
Day 1: Draft an AI acceptable use policy. Use the AI acceptable use policy template as a starting point. Name a policy owner, list approved tools, define data handling rules. Get sign-off from the CEO.
Day 2: Create an AI vendor register. List every AI tool in use. For each, check: what tier/plan, does a DPA exist, is training opt-out active? Flag any gaps for remediation.
Day 3–4: Run DPA remediation. For any tool with a DPA gap, go to the provider's self-serve DPA portal or email their legal team. Most major providers have a self-serve process.
Day 5: Create an AI incident log. Set up a simple Notion page or spreadsheet. Document any past incidents retroactively. Establish the format for future entries.
Day 6–7: If you use AI in hiring, credit, or any Annex III-adjacent domain, document your bias testing methodology — or schedule a retrospective test using your historical decision data.

What Good Looks Like
A startup that passes investor AI governance due diligence in 2026 can produce the following, ideally within 48 hours of a request:
- An AI acceptable use policy dated within 12 months, signed by the CEO or CTO
- An AI vendor register with DPA status confirmed for every production AI tool
- For high-risk AI: a bias testing summary with methodology and results
- An AI incident log showing at least one entry (demonstrating the process exists and is used)
- A named AI governance owner who can answer follow-up questions
None of this requires a legal team, a compliance department, or a dedicated AI safety team. A technically capable founder with the right templates can assemble it in a week. The risk of not having it is a delayed close, a reduced valuation, or a deal that falls through because an investor decides the governance debt is too large.
